1. About us

We are UAB VirtuaBroker Solutions, a company incorporated in Lithuania under company number 306285107, with its registered office at Lvivo g. 105A-101, LT-08104, Vilnius, Lithuania.

We are registered in Lithuania in the Register of Legal Entities as:

• A Virtual Currency Exchange Operator, and

• A Depositary Virtual Currency Wallet Operator.

These Terms of Service (“Terms”) set out the conditions under which we provide our services. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Our services

We provide the following services (“Services”):

• On-Ramp: Buy digital assets using fiat currency.

• Off-Ramp: Sell digital assets for fiat currency.

• Exchange: Exchange between fiat and crypto, or between crypto assets.

• Custody: Store digital assets in wallets operated by VirtuaBroker.

VirtuaBroker Ltd (UK) may provide software and infrastructure support, but regulated exchange and custody services for EU clients are provided exclusively by UAB VirtuaBroker Solutions (Lithuania).

3. Eligibility

To use our Services, you must:

• Be at least 18 years old.

• Satisfy our Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements.

• Not be a resident of, or located in, a sanctioned country (including but not limited to Iran, North Korea, Syria, Cuba, Russia, Sudan, South Sudan).

• Not be personally subject to sanctions issued by the EU, UK, or US.

We verify identity using Sumsub as our KYC provider. We may refuse service if you do not pass these checks.

4. Fees

Our fees include:

• VirtuaBroker service fee: starting at 0.60% for fiat/crypto transactions, and 0.20% for crypto-to-crypto exchanges.

• Network fees (gas fees): dependent on blockchain congestion and not controlled by VirtuaBroker.

• Additional charges may apply from banks or payment providers.

5. How it works

On-Ramp

1. Choose assets and amount.

2. Select payment method.

3. Provide a wallet address (if sending outside VirtuaBroker).

4. Complete KYC (first-time users).

5. Make payment.

6. Once received, assets are transferred to your chosen wallet.

Off-Ramp

1. Choose assets and amount to sell.

2. Complete KYC (if not already verified).

3. Send assets to the wallet address provided.

4. Once received, fiat is sent to your nominated bank account.

Exchange

• Select trading pair and execute.

• Assets remain in your VirtuaBroker wallet unless withdrawn.

Withdrawals

• Select EUR amount.

• Select a bank account (must be in your name).

• Processing times depend on your bank.

6. Your responsibilities

• Provide correct wallet addresses, payment references, and account details.

• Verify all information before submitting — blockchain transactions are irreversible.

• Use only wallets and bank accounts in your own name and under your control.

• Not use VPNs or methods to circumvent territorial restrictions.

We are not liable for losses resulting from user error, incorrect wallet addresses, or inaccurate information.

7. AML/KYC compliance

UAB VirtuaBroker Solutions complies with Lithuanian AML law and requirements of the Financial Crime Investigation Service (FNTT).

We retain identification and transaction records for 5 years or longer if required by law.
We may report suspicious activity to competent authorities.

8. Important risks

• Digital asset transactions are irreversible and non-refundable.

• Digital asset prices are volatile — you may lose all invested funds.

• Blockchain addresses and data may be publicly visible and permanent.

• Our services are not covered by the Financial Services Compensation Scheme (FSCS) or the Financial Ombudsman Service (FOS).

9. Term, termination & suspension

We may suspend or terminate your access to Services without notice if you:

• No longer meet eligibility criteria.

• Breach these Terms.

• Fail to pay fees.

• Are required by law or regulation.

Any trades already initiated will be completed or refunded unless prohibited by law.

10. Intellectual property

All intellectual property in the VirtuaBroker brand, platform, and services remains our exclusive property. You may not reproduce, copy, or resell any part of our services without prior written consent.

11. Liability & disclaimers

• Our Services are provided on an “as is” and “as available” basis.

• We do not guarantee uninterrupted access, accuracy of pricing data, or error-free services.

• We are not liable for losses arising from:

  • price volatility or fluctuations,

  • network failures,

  • errors by third-party exchanges or wallet providers,

  • or circumstances outside our reasonable control.

Our liability is limited to the fees paid by you in the 12 months preceding a claim.

12. Governing law

• For EU customers, these Terms are governed by Lithuanian law, with disputes subject to the exclusive jurisdiction of the courts of Lithuania.

• For UK customers using VirtuaBroker Ltd software services, English law applies.
